End-User License Agreement

EULA
This End-User License Agreement (“EULA”) is a legally binding agreement between you (“User,” “you,” or “your”) and Rapid Fire Reports, LLC (“Company,” “we,” “us,” or “our”) regarding your access to and use of the RapidFire Reports software application and related services (collectively, the “Software”).
By clicking “I Agree,” creating an account, installing, accessing, or otherwise using the Software, you acknowledge that you have read, understood, and agreed to this EULA, as well as our Privacy Policy and Terms of Use.
If you do not agree to these terms, you may not access or use the Software.By accessing or using our services, you agree to this Privacy Policy. If you do not agree, please discontinue use.
RapidFire Reports ("we", "us", or "our") provides tools to manage inspections and related client information. This policy explains how we collect, use, disclose, and safeguard personal information when you visit our website, use our products or services, or interact with us in any other way.
The details below include what data we handle, why we handle it, when we share it, and the choices you can exercise.
Grant of License
Subject to your compliance with this EULA, Rapid Fire Reports, LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Software.
This license permits you to:
Access and use the Software for your internal business operations as an inspection professional or inspection company.
Create, store, manage, and generate inspection reports and related information using the Software.
Provide access to authorized users within your organization, subject to the user or seat limitations included with your subscription plan.
This license provides only a right to use the Software. It does not transfer ownership of the Software or any associated intellectual property to you.
All rights not specifically granted under this EULA remain the property of Rapid Fire Reports, LLC.
Restrictions
You may not, directly or indirectly:
Copy, modify, translate, adapt, or create derivative works from the Software except where expressly permitted.
Reverse engineer, decompile, disassemble, or otherwise attempt to discover or obtain the Software’s source code.
Rent, lease, lend, sell, sublicense, transfer, distribute, or otherwise make the Software available to an unauthorized third party.
Remove, obscure, or modify copyright notices, trademarks, proprietary labels, or other ownership notices contained within the Software.
Use the Software to create, develop, or assist in developing a competing product or service.
Use the Software in a manner that violates applicable laws, regulations, or third-party rights.
Use bots, automated scripts, scraping tools, or similar automated systems to access or interact with the Software without prior written authorization from Rapid Fire Reports, LLC.
Attempts to bypass these restrictions may result in immediate termination of your license and may subject you to additional legal remedies.
Ownership
Rapid Fire Reports, LLC retains all ownership rights, title, and interest in the Software, including all associated intellectual property rights.
Your use of the Software under this EULA does not provide you with any ownership interest in the Software.
You retain ownership of the inspection information, photographs, reports, and other content you create or upload while using the Software (“Your Data”).
Rapid Fire Reports, LLC does not claim ownership of Your Data.

Updates & Modifications
Rapid Fire Reports, LLC may periodically provide updates, improvements, patches, bug fixes, feature changes, or new versions of the Software (“Updates”).
Updates may be installed automatically or may require action by you.
Unless an Update is accompanied by a separate license agreement, the terms of this EULA will continue to apply.
Rapid Fire Reports, LLC may also modify, suspend, replace, or discontinue features or portions of the Software at any time, with or without prior notice, to the extent permitted by applicable law.
User Data
You are responsible for the accuracy, quality, legality, and appropriateness of all information you enter, upload, store, or generate through the Software.
By submitting information to the Software, you represent that you have the necessary rights and permissions to use that information and that your use does not violate applicable law or the rights of another party.
Rapid Fire Reports, LLC uses reasonable security measures designed to protect information maintained through the Software.
However, no software platform, storage system, or electronic transmission method can be guaranteed to be completely secure.
You are encouraged to maintain independent backups of important business information, inspection reports, photographs, and other critical data.
Third Party Components
The Software may incorporate, integrate with, or provide access to third-party software, libraries, services, platforms, or other components.
Those third-party products and services may be governed by separate terms, licenses, and privacy policies.
Your use of third-party components is subject to the terms established by the applicable third-party provider.
Rapid Fire Reports, LLC is not responsible for the availability, performance, security, content, or functionality of third-party products or services and makes no warranties regarding them.
No Warranty
THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAPID FIRE REPORTS, LLC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
RAPID FIRE REPORTS, LLC DOES NOT GUARANTEE THAT THE SOFTWARE WILL SATISFY EVERY USER REQUIREMENT, OPERATE WITHOUT INTERRUPTION, REMAIN COMPLETELY ERROR-FREE, OR THAT EVERY SOFTWARE DEFECT WILL BE CORRECTED.
YOUR USE OF THE SOFTWARE IS AT YOUR OWN RISK.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAPID FIRE REPORTS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SOFTWARE OR THIS EULA.
THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL, EVEN IF RAPID FIRE REPORTS, LLC HAS BEEN ADVISED THAT SUCH DAMAGES MAY OCCUR.
TO THE EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF RAPID FIRE REPORTS, LLC FOR CLAIMS ARISING FROM OR RELATED TO THIS EULA OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF:
The fees you paid to Rapid Fire Reports, LLC during the twelve (12) months immediately preceding the claim; or
One hundred dollars ($100).
Indemnification
You agree to indemnify, defend, and hold harmless Rapid Fire Reports, LLC and its affiliates, officers, directors, employees, representatives, and agents from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, resulting from or related to:
Your access to or use of the Software.
Your violation of this EULA.
Your violation of applicable laws or regulations.
Your violation or infringement of another person’s intellectual property, privacy, or other legal rights.
Termination
This EULA remains effective until terminated.
Your rights to use the Software may automatically terminate if you fail to comply with the terms of this EULA.
Upon termination, you must stop using the Software and remove or destroy any copies of the Software in your possession or control where applicable.
Rapid Fire Reports, LLC may also suspend or terminate access to the Software, including for non-payment or violations of applicable terms.
Provisions that by their nature are intended to survive termination will remain effective following termination, including provisions concerning ownership, warranties, limitation of liability, indemnification, and governing law.
Governing Law
This EULA is governed by and interpreted according to the laws of the State of Colorado, without regard to conflict-of-law principles.
To the extent permitted by applicable law, legal proceedings arising from or relating to this EULA will be brought in the appropriate state or federal courts located in Colorado.
By using the Software, you consent to the jurisdiction and venue of those courts.
Entire Agreement
This EULA, together with the RapidFire Reports Terms of Use and Privacy Policy, represents the complete agreement between you and Rapid Fire Reports, LLC concerning your use of the Software and supersedes prior or contemporaneous agreements or understandings concerning the same subject matter.
If any provision of this EULA is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
The failure of Rapid Fire Reports, LLC to enforce any provision or exercise any right under this EULA will not constitute a waiver of that provision or right.
